By accessing, browsing, or using the Site in any way, you agree to be bound by these Terms. If you do not agree with any provision of these Terms, you must immediately discontinue use of the Site.
1.1 Agreement to Terms. These Terms constitute a legally binding agreement between you (“you,” “your,” or “User”) and Canvas Prints Ltd regarding your use of the Site.
1.2 Modification of Terms. We reserve the right, at our sole discretion, to modify or update these Terms at any time. Any changes will be effective immediately upon posting to the Site, with the “Last updated” date revised accordingly. Your continued use of the Site after such changes constitutes your acceptance of the revised Terms.
1.3 Eligibility. You must be at least 18 years old and able to form a legally binding contract to use the Site. By using the Site, you represent and warrant that you meet these requirements.
2.1 Account Creation. Certain features of the Site (e.g., uploading images, saving design projects, making purchases) require you to create an account. You agree to provide accurate, complete, and current information during registration and to update this information to keep it accurate.
2.2 Account Security. You are solely responsible for safeguarding your password and any account credentials. You agree not to share your account credentials with any third party. You must notify us immediately of any unauthorized use or suspected breach of your account.
2.3 Account Termination. We may suspend or terminate your account at any time, with or without cause or notice, if you violate these Terms or otherwise misuse the Site.
3.1 Permitted Use. Subject to these Terms, you may use the Site for personal or business-related purchases, design, and editing of canvas prints and related products.

4.1 Our Content. All design elements, graphics, images, text, logos, button icons, software, and other materials displayed on the Site (collectively, “Our Content”) are owned by or licensed to Canvas Prints Ltd and are protected by applicable copyright, trademark, and other intellectual property laws.
4.2 Limited License. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site solely for your personal or internal business purposes in connection with purchasing or designing products offered by Canvas Prints Ltd.
4.3 Restrictions. You may not reproduce, distribute, publicly display, perform, modify, create derivative works of, or otherwise exploit any Our Content for any commercial purpose without our prior written consent.
5.1 Definition. “User Content” means any text, images, graphics, designs, photographs, videos, or other material that you upload, post, or otherwise transmit through the Site (e.g., when designing or customizing a canvas print).
5.2 Ownership; License to Us. You retain all rights in User Content. By uploading or submitting User Content to the Site, you grant Canvas Prints Ltd a worldwide, royalty-free, non-exclusive, perpetual, irrevocable, sublicensable right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in connection with operating, promoting, and improving the Site and our business.
5.3 Representations and Warranties. You represent and warrant that:

6.1 Order Acceptance. All orders placed through the Site are subject to acceptance and availability. We may refuse or cancel any order at our discretion, including if the product is no longer available, if there is an error in the product description or pricing, or if fraud is suspected.
6.2 Pricing. Prices for products are listed on the Site in CAD and are subject to change without notice. All prices exclude applicable taxes and shipping fees unless otherwise indicated.
6.3 Payment Methods. We accept major credit cards, debit cards, and any other payment methods displayed on the Site. You agree to pay all charges at the prices then in effect for your order and authorize us (or our third-party payment processor) to charge your chosen payment method.
6.4 Shipping and Delivery. We offer free shipping across Canada for qualifying orders; please refer to our Shipping Policy for details. Estimated delivery times are provided for reference only and commence from the date of shipping. We are not liable for delivery delays caused by courier services, natural disasters, customs delays, or other events beyond our control.
6.5 Returns and Refunds. Please review our Return & Refund Policy for information on returns, exchanges, and refunds. All return requests must comply with the requirements set out in that policy.

Our aggregate liability for all claims arising from or relating to these Terms or your use of the Site shall not exceed the greater of: (a) the total amount paid by you to Canvas Prints Ltd for the specific product or service or (b) five hundred Canadian dollars (CAD $500). Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages; in such jurisdictions, our liability is limited to the fullest extent permitted by law.
You agree to indemnify, defend, and hold harmless Canvas Prints Ltd, its affiliates, and their respective officers, directors, employees, agents, and representatives (collectively, the “Indemnified Parties”) from and against any and all claims, liabilities, losses, damages, costs, and expenses (including reasonable legal fees and costs) arising out of or related to:

10.1 Third-Party Links. The Site may contain links to third-party websites or services that are not owned or controlled by Canvas Prints Ltd. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.
10.2 No Endorsement. Links to third-party sites do not imply endorsement of the products, services, or content provided by those sites. You access any third-party website or service at your own risk.
10.3 Third-Party Payments and Shipping. Payment processing and shipping are provided by third-party vendors (e.g., Stripe, PayPal, FedEx, UPS, or other carriers displayed during ordering). Your use of any third-party payment processor or shipping carrier is subject to their terms and privacy policies, and we are not responsible for their actions or omissions.

12.1 Suspension or Termination by Us. We may suspend or terminate your access to all or part of the Site, without prior notice or liability, for any reason, including if you breach these Terms.
12.2 Effect of Termination. Upon termination, your right to use the Site will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
13.1 Governing Law. These Terms and any dispute arising out of or related to these Terms or the Site shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to any conflict of law principles.
13.2 Direct Negotiation. In the event of any controversy, claim, or dispute arising out of or relating to these Terms or your use of the Site, you and we agree to first attempt to resolve the dispute informally through good-faith negotiation.
13.3 Arbitration. If the dispute cannot be resolved within thirty (30) days of a party’s notice of dispute, you agree that any unresolved claim or controversy shall be finally settled by binding arbitration by videoconference or in another location mutually agreed upon by both parties , under the rules of Arbitration Place or another mutually agreed-upon arbitration provider. Judgment on the arbitration award may be entered in any court with jurisdiction. Each party shall bear its own costs and expenses of arbitration, including legal fees, unless the arbitrator determines otherwise.
We may, at any time and without notice, modify, suspend, or discontinue any or all aspects of the Site, including content, features, or functionality. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Site.
If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason by a court of competent jurisdiction, that provision will be deemed severed from these Terms and will not affect the validity and enforceability of the remaining provisions.
Our failure or delay to enforce any right or provision of these Terms will not constitute a waiver of that right or provision. A single or partial exercise of any right or remedy will not preclude any other or further exercise of that right or remedy.
These Terms, together with any documents expressly incorporated by reference (including our Privacy Policy and Return & Refund Policy), constitute the entire agreement between you and Canvas Prints Ltd regarding your use of the Site and supersede all prior or contemporaneous understandings, agreements, or communications, written or oral, concerning the subject matter of these Terms.
